2. Business Relationship and Orders

Our Service is provided exclusively on a Business-to-Business (B2B) basis for wholesale embroidery, digitizing, and production. All purchase orders (POs) are subject to mutual written acceptance. Production timelines, pricing, and quality specifications are detailed in the individual contract or PO for each project.

3. Intellectual Property

All designs, logos, and artwork provided by you ("Client Assets") remain your property. We are granted a non-exclusive, royalty-free license to use, reproduce, and modify the Client Assets solely for the purpose of fulfilling your specific embroidery order. All digitizing files created by us on behalf of the Client, unless otherwise specified in writing, belong to the Client upon final payment for the associated order.

4. Payment and Cancellation

Payment terms will be agreed upon and stipulated in the official Purchase Order. Typical payment structures include a deposit (e.g., 50%) to commence production, with the balance due upon completion or prior to shipment. Cancellation of an order after production has begun will result in the forfeiture of the deposit and/or payment for work completed up to the date of cancellation.

5. Limitation of Liability

To the fullest extent permitted by law, **Embrolink** shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, arising from your use of the Service or the products produced, even if we have been advised of the possibility of such damages.
